Asia Pacific Pharma Tax Wave: BeiGene Back Taxes 446M Yuan

On June 26 after market close, BeiGene, Ltd. (688235.SH) announced that one of its domestic wholly-owned subsidiaries recently received notice from local tax authorities. The company agreed to certain adjustments to previously filed tax returns, confirmed with the tax authorities, and will promptly pay back taxes and late fees totaling approximately RMB 446 million. This amount is about 30% of its 2025 net profit.

According to BeiGene's previously released 2025 annual report, the company achieved revenue of 38.225 billion yuan in 2025, up 40.46% YoY; net profit attributable to parents was 1.461 billion yuan, turning from a loss of 4.978 billion yuan; non-recurring net profit was 1.420 billion yuan, turning from a loss of 5.379 billion yuan.

BeiGene told media that it recently received notice from local tax authorities regarding certain tax matters, making adjustments to previously filed tax returns. It had full and professional communication with the tax authorities regarding technical determinations and tax-accounting differences, and will complete payment as required. This matter does not involve administrative penalties. Based on accounting standards, it is not a prior-period accounting error and does not require retrospective adjustment of prior financial data.

The company expects to record this in current 2026 period profit/loss, with specific impact subject to audited financial statements. This matter is not expected to have a material adverse impact on the company's financial condition, going concern, or normal operations.

Multiple Pharma Companies Recently Disclosed Large Tax Payments

Besides BeiGene, several other pharma listed companies disclosed tax payments or adjustments this year. On May 20, Aier Eye Hospital (300015.SZ) announced that after self-inspection of tax matters per regulations, it confirmed back taxes of 348 million yuan and late fees of 176 million yuan, totaling 524 million yuan.

On January 1, China Medicine (600056.SH) announced that its wholly-owned subsidiaries Sanyao Pharmaceutical and Kangli Pharmaceutical received tax notices requiring total back taxes and late fees of about 65.2178 million yuan, including 21.4862 million yuan back tax and 10.7429 million yuan penalty for Sanyao, and 21.2826 million yuan back tax and 11.7061 million yuan penalty for Kangli.

Additionally, Jiasitang (002462.SZ), Bluesail Medical (002382.SZ), and Chongyao Holding (000950.SZ) also issued tax payment announcements.

Golden Tax Phase IV Intensifies Supervision: Historical Risks Cleaned Up

According to Wind data, as of June 25, at least 80 listed companies had disclosed tax payment or adjustment announcements this year, approaching 2025's total of 89, involving total back taxes, penalties, and fines exceeding 6 billion yuan.

Tianmu Chuangtou Ecosystem initiator and Taihe Tai (Shanghai) Law Firm senior partner Gui Xin said the recent wave of pharma companies like BeiGene and Aier paying back taxes after annual reports essentially reflects the concentrated exposure of historical compliance issues under Golden Tax Phase IV's strong supervision, such as tax incentives (high-tech status, R&D super deduction), tax-accounting differences, and related-party transactions in the high-R&D pharma industry. Tax payments often occur after annual reports, as companies proactively conduct tax self-inspections after completing tax settlements and audits to avoid penalty risks. This also reflects the natural difference between audit (financial accuracy) and tax (tax law application). Such payments are typically policy adjustments, not financial fraud, indicating normalized tax compliance and 'mine-clearing'.

Gui Xin further said the frequent huge tax payments in pharma and other sectors this year, far exceeding previous years, are mainly due to Golden Tax Phase IV's full implementation enabling cross-department data penetration, combined with strict tax incentive supervision and the implementation of the VAT Law, forcing companies to clean up historical tax risks over the past five or even ten years. Meanwhile, listed companies, to avoid high fines and disclosure risks, choose to proactively 'clear mines' after annual audit and tax settlement and announce it, causing previously hidden stock problems to erupt in 2026, forming an apparent surge in tax payments.

One-Time or Ongoing Impact?

Regarding whether this round of tax payments is only for this year or will become normalized, Gui Xin said the huge payments are not limited to 2026. They are split into two logics: the concentrated large payments in 2026 are mainly one-time clean-ups of historical stock risks (usually 3-5 years back). As proactive inspections progress, such large retroactive payments are expected to decrease in the next 1-2 years. However, normalized tax adjustments will persist long-term. Golden Tax Phase IV's 'data-driven taxation' is permanent infrastructure, strict tax incentive supervision (high-tech annual review, R&D super deduction real-time review) becomes normal. Companies may still incur tax payments during annual settlements due to policy refinement and related-party pricing adjustments, but amounts will return to normal levels, without concentrated 'huge old bills'. Tax compliance will shift from occasional 'mine-clearing events' to routine hard operating costs.
